Terms of Sale
The contract for hardware, software and services you buy from Workstation at shop.workstation.co.uk, by quote, or through the AI Sales Engineer.
The key points
- Prices online and from the AI Sales Engineer are estimates until we confirm your order or quote in writing.
- A written quote holds its price for the period shown on it (60 days for signed-in Trade members' quotes).
- Built-to-order systems are made to your specification; consumers keep their statutory rights, but the 14-day cancellation right does not cover goods made to your specification.
- Business customers: our liability is limited as set out in section 10. Consumers: nothing here limits your statutory rights.
- English law applies. Questions: legal@workstation.co.uk.
1. Who we are and these terms
These Terms of Sale are the contract between you and Workstation Solutions Ltd, a company registered in England and Wales (company number 11641870), registered office The Courtyard, 77-79 Marlowes, Hemel Hempstead, Hertfordshire HP1 1LF, United Kingdom ("Workstation", "we", "us"). We trade as Workstation and Workstation AI.
They apply to every order and quote placed at shop.workstation.co.uk, by email, by phone or through the AI Sales Engineer. They sit alongside our website Terms of Service; if the two conflict about a purchase, these Terms of Sale win. Trade membership has its own terms at /trade/terms.
You are a "consumer" if you buy wholly or mainly outside your trade, business, craft or profession, and a "business customer" otherwise. Some sections apply differently to each, and say so.
2. Prices, estimates and quotes
Hardware prices move daily with supplier and GPU-market costs. Prices shown on the site, in a basket and by the AI Sales Engineer are estimates and include or exclude VAT as labelled. They become binding only when we confirm your order or issue a written quote.
A written quote (with a quote number and PDF) holds its prices until the date shown on it. Quotes requested by a signed-in Trade member hold for the member price-lock period. After that date we will re-price before accepting payment.
If we discover a pricing error before we dispatch, we will tell you and you may cancel for a full refund; we will not ask you to pay more without your agreement.
Prices are in pounds sterling. Delivery charges are shown before you pay. Customers outside the UK are responsible for import duties and local taxes unless the quote says otherwise.
3. How the contract is formed
Your order or quote request is an offer to buy. The contract is formed when we email you an order confirmation, or when you pay a written quote. Paying at checkout places a hold on stock for 30 minutes; it is not our acceptance.
We may decline an order, for example if an item is unavailable, a price was wrong, or we cannot verify the buyer. If we decline after you paid, we refund you in full within 14 days.
If you tell us you buy for a business, you confirm you are authorised to bind that business.
4. Advice, sizing and the AI Sales Engineer
Our engineers and the AI Sales Engineer help you choose hardware. Their advice is given with reasonable care and skill, but it is guidance, not a guarantee that a configuration will meet a particular performance target, model size or workload unless we agree that in writing as part of a quote.
The AI Sales Engineer is an automated assistant. Its answers may be wrong or out of date, and its prices are estimates. Nothing it says changes these terms or forms a contract; only a written quote or order confirmation does. See the AI Sales Engineer notice at /legal/ai-assistant.
5. Built-to-order systems and lead times
Many systems are built, configured and tested to your specification. Lead times on the site and in quotes are estimates based on supplier availability. We will tell you promptly about any delay; if a delay is more than 30 days beyond the estimate, you may cancel that item for a full refund.
Where you ask us to install an operating system, drivers, software or models, you confirm you have the right to use them and accept their licence terms. Third-party software is licensed to you by its publisher.
6. Delivery, risk and ownership
We deliver to the address you give us. Please check the goods and packaging on delivery and tell us about visible damage within 3 working days.
Risk passes to you on delivery. Ownership passes to you when we have received payment in full.
For high-value systems we may require a signature or a booked delivery slot. Failed deliveries caused by incorrect details or no one being available may be charged at cost.
7. Cancelling and returns — consumers
If you are a consumer you may cancel an online or phone order within 14 days of the day you receive the goods, without giving a reason, by emailing legal@workstation.co.uk with your order number. You must return the goods within 14 days of cancelling, in their original condition, and we refund the price and standard delivery within 14 days of receiving them back.
The right to cancel does not apply to goods made to your specification or clearly personalised (including systems built or configured to your order), or to sealed software or media unsealed after delivery.
Your statutory rights under the Consumer Rights Act 2015 always apply: goods must be of satisfactory quality, fit for purpose and as described. You can reject faulty goods for a full refund within 30 days of delivery, and after that ask for repair or replacement.
8. Returns — business customers
Business customers may return unopened stock items within 30 days of delivery (60 days for Trade members) for a refund, less any restocking fee shown on the quote. Built-to-order systems, opened software and special-order parts cannot be returned unless faulty.
Returns need a returns number from us first. Goods travel at your risk until we receive them.
9. Warranty and faults
Systems we build carry the warranty stated on the quote (three years return-to-base as standard). Components carry their manufacturer's warranty, which we will help you claim.
Warranty does not cover damage from misuse, accident, unauthorised modification, inadequate power or cooling, or software you install. Data on returned equipment may be lost: keep backups.
10. Our liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or any liability that cannot be limited by law. Consumers keep all their statutory rights.
For business customers: we are not liable for loss of profit, revenue, business, data or goodwill, or for any indirect or consequential loss; and our total liability for any order is limited to the price paid for that order.
You are responsible for backing up your data and for deciding whether the equipment is suitable for your regulatory and security obligations.
11. Export control and lawful use
Some GPUs, accelerators and systems are subject to UK, US and other export-control and sanctions laws. You agree not to export, re-export or use them in breach of those laws, and to tell us the end user and destination when we ask. We may refuse or cancel an order where we cannot comply lawfully.
12. Your information
We use your information to process orders and quotes, provide support and meet our legal obligations, as described in How Workstation uses your information at /legal/privacy. We keep a record of the legal statements you confirm, with the version, time and the device details, as evidence of the agreement.
13. Changes, law and disputes
We may update these terms; the version in force when you place an order applies to that order. If we change them, we will ask you to accept the new version before your next order.
These terms are governed by the law of England and Wales. Consumers may bring proceedings in the courts of the part of the UK where they live and keep the protection of mandatory local consumer law. Business customers submit to the exclusive jurisdiction of the courts of England and Wales.
